Emergency crews took 90 minutes to free the Bendigo woman from the wreckage following the crash on Back Hepburn Road near Jacksons Lookout about 9.30am.
Police blocked off the area to traffic as an ambulance helicopter landed on a nearby sports oval, airlifting the woman to The Alfred hospital in Melbourne with arm, leg and pelvis injuries.
She remains in hospital in a stable condition, a spokesperson confirmed.
The driver of the ute, a 24-year-old man also from Bendigo, was taken by road to hospital with rib injuries.
Victoria Police spokeswoman Lauren Kells said detectives have launched an investigation into circumstances leading up to the single-vehicle crash.
Pictures that emerged following the incident show the passenger door of the single cab ute wrapped around the tree.
